All defined terms used in this announcement, unless the context otherwise states, shall bear the same meaning as those defined in the announcement dated 2 August 2011 in relation to the Proposed Acquisition.

We refer to the announcements dated 2 August 2011, 29 August 2011 and 17 October 2011.

On behalf of the Board, we are pleased to announce that all the conditions precedent of the SPA has been fully satisfied, and the title of the Said Property has been transferred to the Purchaser, namely Careplus (M), a wholly-owned subsidiary of Careplus. As such, the Proposed Acquisition is deemed completed.
