PRIVATE PLACEMENT OF UP TO TWENTY PERCENT (20%) OF THE ISSUED AND PAID-UP SHARE CAPITAL OF CAREPLUS (“PRIVATE PLACEMENT”)

We refer to the announcements dated 28 April 2011, 4 May 2011, 5 May 2011, 16 May 2011, 19 May 2011, 25 July 2011, 15 August 2011, 21 October 2011, 28 October 2011 and 4 November 2011 respectively, in relation to the Private Placement.

On behalf of the Board, we are pleased to announce that the Board had resolved to fix the issue price of RM0.32 per Placement Share for the second tranche of the Private Placement, comprising 15,000,000 Placement Shares.

This issue price of RM0.32 per Placement Share represents a discount of RM0.0125 or 3.76% to the five (5)-day VWAP of Careplus Shares up to and including 8 February 2012, being the day preceding the date of this announcement of RM0.3325.
